IC4 Associate Membership allows its members to participate in workshops, seminars and conferences, organised by IC4. They also get access to case studies, briefing papers and reports , which are intended to keep companies updated on the latest developments in cloud computing.

THIS TECHNOLOGY CENTRE ASSOCIATE MEMBERS AGREEMENT (AGREEMENT) is made between Dublin City University (Host Institution) and the person completing this online membership (Industry Party) (each a “Party” and together the “Parties”) Whereas: • The Irish Centre for Cloud Computing and Commerce (‘The Centre’) has been established as a technology centre for the purpose of performing industry-led research and for hosting knowledge dissemination events for members in the field of cloud computing. • The Centre has received funding for certain research programmes from Enterprise Ireland through its Technology Centre Programme to establish the Centre, subject to the terms and conditions of the Hosting Contract. • The Centre is an unincorporated collaborative venture between the Host Institution, its Members and its Associate Members. The activities of the Centre shall be conducted through the powers of the Members expressed in the Centre Bye Laws, for the time being and from time to time. Membership Rights Associate Members will receive the rights to: • attend knowledge information events, including conferences, workshops, seminars and cloud clinics, organised by the Centre. • receive copies of IC4 publications, where these do not contain research project results that are confidential to full Members of the Centre. • receive information on the research activities carried out by the Centre, where these do not contain research project results that are confidential to full Members of the Centre. • upgrade their membership to full Members of the Centre, thus receiving the rights to participate in the specification and supervision of research projects, the exploitation of research project results, as well as being eligible for nomination to the Centre Steering Board. Confidentiality: Each of the Associate Members covenants with each of the other members that it shall keep confidential and shall not use, disclose (other than to Affiliates) copy or modify any Confidential Information it receives except for the purpose of carrying out its obligations under this Agreement. The provisions of this clause shall not apply to information which: • was, at the time of receipt by the recipient Associate Member (“recipient”), in the public domain; or • has, after receipt by the recipient, entered the public domain through no act or omission of the recipient or its Personnel; or • is contained in a patent application or patent filed by a member which has been published by the relevant patent office; • is reported to Enterprise Ireland for the purpose of complying with the terms of the Hosting Contract; or • is by law or by any court or order of any governmental or regulatory authority required to be disclosed (but only to the extent of that disclosure requirement), • is rightfully received by the recipient or one of its Affiliates from a third party without any obligation of confidentiality, • is rightfully known to the recipient without any limitation on disclosure, prior to its receipt from the disclosing party, or • is independently developed by the recipient or one of its Affiliates. If an Associate Member is required by law or by any court or order of any governmental or regulatory authority to disclose Confidential Information, it shall promptly notify the Director of receipt of notice of that requirement. The Centre may at its discretion and cost assist in opposing any such disclosure. Membership fees: Membership fees will be levied by the Technology Centre on all Associate Members on an annual basis, these fees will be reviewed and set on an annual basis by the Steering Board. Liabilities: No Associate Member shall have any Liabilities for any activities of the Centre or any other member. Furthermore, nothing in this Agreement shall be construed as providing for the sharing of profits or losses between any of the members. Notwithstanding any other terms of this Agreement, the maximum aggregate liability of any Associate Member to all the other members (including the Host Institution) in any way in relation to membership or to the Centre will not exceed the Membership Fee payable in any year, save only to the extent that this cap on liability is not permissible by applicable law. General Provisions This Agreement and any non-contractual obligations arising out of or in connection with this Agreement shall be governed by, and construed in accordance with, the laws of Ireland. Nothing in this Agreement shall create, or be deemed to create, a partnership, joint venture, or the relationship of principal and agent, between the Parties or any of them, and none of the Parties shall have any right or authority to act on behalf of the other or to bind any of the others in any way.
